Terms of Service
1. Agreement
By engaging Scott Accounting LLC ("Company") for digital marketing services, you ("Client") agree to these Terms of Service. This document, along with a formal Service Agreement or Proposal, constitutes the entire agreement between both parties.
2. Service Provision
The Company will provide digital marketing services as detailed in the Service Agreement. This includes scope, deliverables, and projected timelines. Any modifications must be mutually agreed upon in writing.
3. Payment and Fees
Client agrees to the payment terms specified in the Service Agreement. Services are typically billed on a recurring monthly basis. Invoices are due upon receipt. Late payments may incur interest charges and lead to a temporary suspension of services until the account is settled.
4. Client Responsibilities
The Client must provide timely access to necessary assets, including website credentials, ad accounts, and brand materials. The Client guarantees that all provided materials are owned by them or that they have the legal right to use them. Delays in providing required access or materials may impact project timelines.
5. Confidentiality
Both Scott Accounting LLC and the Client agree to treat all non-public information received from the other party as confidential. This includes business strategies, client lists, and performance data. This obligation of confidentiality will survive the termination of our service agreement.
6. Limitation of Liability
Scott Accounting LLC will apply its professional expertise to achieve the Client's marketing objectives. However, we do not guarantee specific results, as market dynamics and third-party platform algorithms are beyond our control. Our liability for any claim arising from our services is limited to the total fees paid by the Client in the preceding three months.
7. Termination
Either party may terminate the Service Agreement with 30 days written notice, unless otherwise specified. Upon termination, the Client is responsible for all fees accrued up to the termination date. All client-owned assets and data will be returned upon settlement of the final invoice.
8. Governing Law
These terms shall be governed by the laws of the jurisdiction where Scott Accounting LLC is registered.
